Terms of Service

1. Acceptance of Terms

By accessing or using the Naami application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Naami is a shared expense management application that allows users to:

  • Track and split shared expenses within groups
  • Settle debts through peer-to-peer Solana blockchain transactions
  • Store expense data with end-to-end encryption (E2EE)
  • Verify expense records cryptographically using Merkle Mountain Range (MMR) proofs on the Solana blockchain

Naami is non-custodial: we never hold, control, or have access to your funds. All blockchain transactions are initiated and signed directly by you through your wallet.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and are not a resident of, or located in, any country subject to international sanctions or embargoes.

4. User Accounts

4.1 Wallet-Based Authentication

Your account is tied to your Solana wallet. You are solely responsible for maintaining the security of your wallet, private keys, and recovery phrases. Naami cannot recover lost wallets or private keys.

4.2 Account Security

You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Encryption Keys

Naami generates encryption keys derived from your credentials to protect your data with end-to-end encryption. If you lose access to your credentials and recovery data, your encrypted data cannot be recovered by Naami or any third party.

5. Non-Custodial Nature

Naami does not custody, hold, or control any cryptocurrency or digital assets. All Solana blockchain transactions are:

  • Initiated by you through your connected wallet
  • Signed by your private key, which Naami never has access to
  • Executed directly on the Solana blockchain
  • Irreversible once confirmed on-chain

You acknowledge that blockchain transactions cannot be reversed, cancelled, or refunded by Naami. You are solely responsible for verifying transaction details before signing.

6. End-to-End Encryption

Sensitive data including expense amounts, names, descriptions, categories, member nicknames, and session details is encrypted using ChaCha20-Poly1305 end-to-end encryption. Naami's servers cannot decrypt this content. This means:

  • Only session participants with the correct keys can access encrypted data
  • Naami cannot assist with data recovery if encryption keys are lost
  • Naami cannot view, audit, or moderate encrypted content

7. Fees

The Service is currently provided free of charge. We reserve the right to introduce fees in the future with reasonable prior notice. Blockchain transaction fees (Solana network fees) are separate and paid directly to the network.

8. Intellectual Property

The Service, including its software, design, and documentation, is owned by the Naami project. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Launder money or finance terrorism
  • Evade sanctions or other financial restrictions
  • Engage in fraudulent or deceptive activity
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service in any manner that could harm, disable, or impair the Service

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. NAAMI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Naami does not provide financial, investment, tax, or legal advice. The Service is a tool for expense tracking and should not be relied upon for financial decision-making.

Naami does not guarantee the accuracy, completeness, or reliability of any information provided through the Service, including but not limited to exchange rates sourced from third-party providers.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAAMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL NAAMI'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO NAAMI FOR USE OF THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Naami project and its contributors from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications

We may modify these Terms at any time. Material changes will be communicated through the Service or via email at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, and indemnification.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
